The Agreement

These terms are an agreement between you (the human or legal entity using Kuroji) and KumoKodo, LLC ("KumoKodo," "we"). By signing up for an account, you agree to these terms.

If your organization has signed a separate written agreement with KumoKodo, that agreement governs and these terms are supplemental.

The Service

Kuroji is a software-as-a-service product that ingests financial data you connect (bank transactions, Stripe charges, payroll runs) and produces derived information (runway, journal entries, anomaly briefs, scenario analyses, action receipts).

The service is hosted in the United States. Availability is targeted at 99.9% per calendar month, excluding scheduled maintenance announced at least 48 hours in advance. We do not offer a contractual SLA on plans below Enterprise.

Your Responsibilities

You agree to:

  • Connect only accounts you have the right to connect (your own company’s bank, Stripe, payroll — not somebody else’s)
  • Keep your sign-in credentials private and notify us promptly if you suspect compromise
  • Not attempt to reverse-engineer, scrape, or otherwise exfiltrate the audit-chain implementation
  • Not use Kuroji to commit fraud, evade tax obligations, or launder funds — in our sole discretion, we will terminate any account that does
  • Pay your subscription on time

Money Movement (Ring III)

Plans that include Ring III (vendor pay, treasury sweeps, sales-tax filings) are subject to additional terms in a written DPA. Ring III actions are constrained by hard limits encoded in the auth chain; you are responsible for setting those limits appropriately for your business. KumoKodo’s liability for any Ring III action is capped at the lesser of (a) the value of the action itself or (b) twelve months of subscription fees, whichever is lower.

Billing

Subscriptions bill monthly or annually in advance, in US dollars, via Stripe. Trials are free; once you select a paid plan we charge on the first day of the next billing period.

You can cancel anytime. We do not pro-rate refunds for partial months, but we will refund the last unused month if you cancel within seven days of an annual renewal.

Ownership And Data

You own the financial data you connect to Kuroji. We own the software, the audit-chain implementation, and any derived aggregate statistics that don’t identify your organization.

You retain a perpetual, irrevocable license to your data and can export it at any time. We retain a license to use your data only to provide the service to you; we never license it for training, advertising, or resale.

Warranty Disclaimer

The service is provided "as is." We do not warrant that Kuroji will be error-free or uninterrupted, that the journal entries it derives will satisfy every accounting standard in every jurisdiction, or that the scenarios it computes will predict any actual outcome. You should treat Kuroji as a powerful assistant, not a fiduciary.

Limitation Of Liability

To the maximum extent permitted by law, KumoKodo’s liability arising out of or related to Kuroji is capped at the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) $100. We are not liable for indirect, consequential, or punitive damages.

For Ring III customers, the Ring-III-specific cap above governs claims related to money movement.

Termination

You may terminate by deleting your account. We may terminate for breach (after notice and a chance to cure), for non-payment, or for cause. On termination, your access ends and your data is deleted after the thirty-day grace period described in our privacy policy.

Governing Law

Texas law governs these terms. Disputes will be resolved in the state or federal courts located in Travis County, Texas. We both agree to try to resolve any dispute by good-faith conversation before filing anything.

Changes To These Terms

If we materially change these terms, we’ll email every active account at least thirty days before the change takes effect. Continued use after the change is acceptance of the new terms. Trivial edits are made in place with the updated date at the top.
